Please read these Terms of Service ("Terms") carefully before using the Joyal platform at joyal.co. By creating an account or using any part of the platform, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must not use the platform.

1. ABOUT JOYAL
Joyal is a digital loyalty platform that enables businesses ("Business Owners") to create and manage loyalty programmes for their customers ("Loyalty Members"). Joyal operates as an intermediary technology platform - it is not a party to the loyalty arrangement between a Business Owner and their customers.
These Terms apply to all users of the platform, including Business Owners, Loyalty Members, Staff Members, and Affiliates.
2. DEFINITIONS
- "Joyal", "we", "us", "our" refers to Joyal and its operators.
- "Platform" means the Joyal website, web application, APIs, and associated services at joyal.co.
- "Business Owner" means any individual or entity that registers a business account on the Platform.
- "Loyalty Member" or "Customer" means a person who joins a business's loyalty programme through the Platform.
- "Staff Member" means an employee or representative authorised by a Business Owner to operate their loyalty programme.
- "Points" means the loyalty points awarded to Customers by a Business Owner through the Platform.
- "Rewards" means the benefits, discounts, or items offered by a Business Owner in exchange for Points.
3. ELIGIBILITY
To use the Platform, you must be at least 16 years of age. By using the Platform, you confirm that you meet this requirement. Business Owners must be legally authorised to operate a business in their jurisdiction.
4. ACCOUNTS
4.1 Registration. To access most features of the Platform, you must create an account. You agree to provide accurate, complete, and current information when registering.
4.2 Account Security. You are responsible for keeping your login credentials confidential. You must notify us immediately at info@joyal.co if you suspect any unauthorised use of your account.
4.3 Account Responsibility. You are responsible for all activity that occurs under your account.
4.4 One Account Per Person. Each individual may hold one personal account. Business Owners may register one business per account unless otherwise agreed.
5. TERMS FOR BUSINESS OWNERS
This section applies specifically to Business Owners using Joyal to manage a loyalty programme.
5.1 Subscription and Fees
Access to Business Owner features requires an active paid subscription. Subscription fees are billed in advance on a monthly or annual basis via Stripe. By subscribing, you authorise us to charge the payment method on file for the applicable subscription fee.
Fees are non-refundable except where required by applicable law. We reserve the right to change subscription pricing with reasonable notice.
5.2 Your Loyalty Programme
As a Business Owner, you are solely responsible for:
- The design, rules, and terms of your loyalty programme
- The accuracy of Points awarded and Rewards offered
- Honouring Rewards to your Customers
- Ensuring your use of the Platform complies with applicable consumer and data protection law
- Any communications you send to your Customers through the Platform
Joyal does not guarantee the fulfilment of any Reward; this is entirely the Business Owner's obligation.
5.3 Customer Data
By using the Platform, you acknowledge that Customer personal data collected through your loyalty programme is processed on your behalf. You are the data controller for your customers' data and must ensure your use of the Platform complies with GDPR and any applicable data protection laws. Joyal acts as data processor for Customer data within your programme.
You must not:
- Use Customer data collected via Joyal for any purpose other than operating your loyalty programme
- Transfer or sell Customer data to third parties
- Send unsolicited communications to Customers who have not opted in
5.4 Acceptable Use
You must not use the Platform to:
- Engage in fraudulent, misleading, or deceptive practices
- Manipulate or artificially inflate loyalty points or reward balances
- Violate any applicable law or regulation
- Impersonate another business or person
- Introduce malware, spam, or harmful content
5.5 Staff Accounts
You may invite Staff Members to operate the Platform on your behalf. You are responsible for all actions taken by your Staff Members and for revoking their access promptly if their role changes.
The Platform may capture the approximate location of a staff device at the moment points or rewards are processed, in order to attribute transactions to your registered business locations and to detect misuse. As the employer and data controller for your Staff Members, you are responsible for informing them that this occurs before they use the Platform, and for ensuring your use of this feature complies with applicable employment and data protection law.
5.6 Suspension and Termination
We reserve the right to suspend or terminate your Business Owner account if:
- You breach these Terms
- You fail to pay applicable subscription fees
- Your use of the Platform causes harm to Customers or to Joyal
- We are required to do so by law
Upon termination, your access to the Platform will cease. Customer data will be handled in accordance with our Privacy Policy.
6. TERMS FOR LOYALTY MEMBERS (CUSTOMERS)
This section applies to individuals who join a business's loyalty programme through Joyal.
6.1 Joining a Programme
By joining a loyalty programme, you agree to that specific business's programme rules in addition to these Terms. Programme details (earning rates, rewards, expiry policies) are set by the Business Owner and may change at their discretion.
Transactions on your account may be tagged with the business location at which they took place. Your own device's location is never accessed; see our Privacy Policy for details.
6.2 Points Have No Cash Value
Loyalty Points are a record of loyalty activity with a specific business. Points have no monetary value, cannot be exchanged for cash, cannot be transferred between businesses, and are not your property.
6.3 Rewards
Rewards are offered at the sole discretion of the Business Owner. Joyal makes no guarantee that any specific Reward will remain available, or that a Business Owner will honour a Reward. Any dispute regarding fulfilment of a Reward is between you and the Business Owner.
6.4 Account Termination
If you delete your Joyal account, your Points balance will be permanently deleted. Anonymised transaction records may be retained by the Business Owner for reporting purposes in accordance with our Privacy Policy.
7. INTELLECTUAL PROPERTY
7.1 Platform.
All intellectual property rights in the Platform — including its design, code, features, and content created by Joyal — belong to Joyal. You may not copy, modify, distribute, sell, or create derivative works from the Platform without our written consent.
7.2 Your Content.
You retain ownership of any content you upload (such as business logos or profile photos). By uploading content to the Platform, you grant Joyal a non-exclusive, royalty-free licence to store, display, and use that content solely for the purpose of providing the Platform services.
8. DISCLAIMERS
8.1 The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
8.2 Joyal does not guarantee that the Platform will be error-free, secure, or continuously available. We may take the Platform offline for maintenance, updates, or for reasons outside our control.
8.3 Joyal is not responsible for the actions, omissions, or loyalty programme decisions of any Business Owner.
8.4 Beta Disclaimer. You acknowledge that the Platform is currently offered as a "Beta" (testing) version. The Platform may contain bugs, errors, or service interruptions, and features may change without notice. Your participation in the Beta is voluntary and at your own risk. Joyal accepts no liability for loss of data, missed customer rewards, or operational disruptions resulting from the use of the Beta software.
9. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law:
9.1 Joyal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of goodwill, arising out of or related to your use of the Platform.
9.2 Our total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of: (a) the amount you paid to Joyal in the 12 months preceding the claim, or (b) €100.
9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Joyal and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Any content or data you submit through the Platform
11. THIRD-PARTY SERVICES
The Platform integrates with third-party services including Stripe (payments), Supabase (infrastructure), Vercel (hosting), and Resend (email). Your use of these services is subject to their own terms and privacy policies. Joyal is not responsible for the practices of third-party service providers.
12. CHANGES TO THESE TERMS
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this document and may notify you via email or a notice on the Platform. Your continued use of the Platform after changes take effect constitutes your acceptance of the updated Terms.
13. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
14. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
15. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Joyal regarding the Platform and supersede all prior agreements.
